About the role
Role Overview
The Associate will join the Corporate Practice to advise clients operating in the defence sector, manufacturing industries, and technology-driven businesses, with work spanning corporate law, business structuring, restructurings, investment projects, and mergers and acquisitions.
Key Responsibilities
- Advise clients on corporate law matters.
- Support business incorporations, reorganizations, and corporate restructurings.
- Draft corporate documents, including constitutional documents, corporate resolutions, shareholders’ agreements, and other internal corporate documentation.
- Provide legal support on investment projects and M&A transactions in Ukraine and abroad.
- Conduct legal due diligence.
- Assist with structuring Ukrainian and international corporate groups.
- Prepare legal memoranda, opinions, and other legal advice.
- Advise defence sector companies on corporate and regulatory matters related to their operations.
- Liaise with government authorities, counterparties, and external advisers as part of client projects.
Qualifications & Experience
- Degree in Law.
- At least 2 years of experience in a law firm advising on corporate law and/or M&A matters or in an in-house legal department of defence producers.
- Experience supporting corporate restructurings, investment projects, or transactional work.
- Strong understanding of corporate governance and business structuring.
- English language proficiency at Upper-Intermediate level or higher.
- Ability to work independently and take ownership of assigned workstreams.
- Strong analytical skills, attention to detail, and excellent legal drafting abilities.
- Experience advising clients in the defence, manufacturing, technology, or engineering sectors is an advantage.
- Experience supporting investment transactions and fundraising projects is an advantage.
- Understanding of the regulatory framework applicable to defence industry businesses is an advantage.
- Experience working with foreign investors and international corporate structures is an advantage.
