About the role
Role Overview
The role focuses on corporate governance, statutory compliance, legal documentation, and regulatory matters, with a significant emphasis on planning and executing an Initial Public Offering (IPO). The position involves coordinating with internal departments, external legal and financial advisors, regulators, and other stakeholders to ensure compliance with applicable corporate and securities laws.
Key Responsibilities
- Ensure full compliance with the Companies Act, SEBI regulations, and applicable corporate laws.
- Draft, review, and maintain statutory records and filings, including ROC, MGT, and AOC filings.
- Liaise with directors, promoters, auditors, regulators, and shareholders on governance matters.
- Provide strategic support in planning and executing the company's Initial Public Offering (IPO).
- Coordinate with lead managers, merchant bankers, legal advisors, and underwriters.
- Manage documentation, regulatory filings, and compliance under SEBI (ICDR) Regulations.
- Ensure timely submission of the Draft Red Herring Prospectus (DRHP), Red Herring Prospectus (RHP), listing applications, and ongoing post-IPO disclosures.
- Address queries and clarifications from SEBI, stock exchanges, and other regulatory authorities.
- Draft and vet legal documents, contracts, memoranda of understanding (MOUs), non-disclosure agreements (NDAs), and investor agreements.
- Liaise with the Finance, Legal, HR, and Administration departments to ensure integrated compliance.
- Prepare management information system (MIS) reports and presentations to support management and board decision-making.
Qualifications & Experience
- Associate Company Secretary.
- Excellent drafting, communication, and regulatory liaison skills.
- Knowledge of applicable laws, including the Companies Act, SEBI Regulations, FEMA, and Listing Obligations.
- Ethical and proactive approach to work.
- Strong coordination and communication skills.
